Terms of Service

Terms governing access to Selfic AI websites, hosted services, trials, and related offerings.

1.Agreement to These Terms

These Terms of Service ("Terms") govern access to and use of websites, software, hosted services, trials, documentation, and related offerings provided by Selfic AI Inc. ("Selfic AI," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you and Selfic AI have executed an order form, master services agreement, enterprise agreement, data processing addendum, statement of work, or other written agreement covering the same Services (collectively, an "Enterprise Agreement"), that Enterprise Agreement controls to the extent of any conflict with these Terms.

2.Eligibility and Accounts

You must be legally capable of entering into these Terms and use the Services only for lawful business purposes. You are responsible for account information, credentials, authorized users, and activity occurring under your account. You must use reasonable safeguards, including available authentication controls, and promptly notify Selfic AI of suspected unauthorized access.

3.The Services

Selfic AI provides enterprise AI execution, integration, governance, knowledge, agent, workflow, and related capabilities. Features, interfaces, third-party integrations, models, and technical requirements may evolve. Specific functionality, service levels, deployment models, support commitments, implementation services, pricing, and usage limits are governed by the applicable order or Enterprise Agreement.

4.Customer Systems, Data, and Instructions

You are responsible for having all rights and permissions necessary to connect systems, provide data, configure agents/workflows, authorize users, and instruct the Services to access or act on information. You determine the systems, data sources, permissions, tools, models, actions, and destinations authorized for your environment. You must not instruct the Services to access data or perform actions that you are not authorized to access or perform.

As between the parties, you retain ownership of data, content, prompts, configurations, and other materials you or your authorized users submit to the Services ("Customer Content"). You grant Selfic AI the limited rights necessary to host, process, transmit, reproduce, and otherwise handle Customer Content to provide, secure, support, and improve the Services as permitted by the applicable agreement and law.

5.Acceptable Use

You may not use the Services to:

  • Violate applicable law, regulation, contractual obligations, intellectual-property rights, privacy rights, or security requirements.
  • Gain or attempt to gain unauthorized access to accounts, systems, networks, data, models, tools, or credentials.
  • Introduce malware, malicious code, destructive payloads, or intentionally harmful instructions.
  • Circumvent security, access controls, usage limits, approvals, audit controls, or technical restrictions.
  • Use the Services to facilitate fraud, unlawful surveillance, deception, or other unlawful activity.
  • Probe or test vulnerabilities except with Selfic AI’s prior written authorization or through an expressly authorized security program.
  • Resell, sublicense, or provide the Services to third parties except as expressly permitted by an applicable agreement.

6.AI-Generated Outputs and Automated Actions

AI systems can produce incomplete, inaccurate, unexpected, or inappropriate outputs. You are responsible for evaluating outputs and configuring appropriate human review, approvals, permissions, and safeguards for your use case. You must not rely on AI-generated output as the sole basis for decisions where human review or professional judgment is legally required or reasonably appropriate. Selfic AI does not provide legal, medical, financial, insurance, or other regulated professional advice.

Where the Services are configured to perform actions in connected systems, those actions occur based on permissions and instructions established by authorized users. Customers are responsible for determining which actions may be automated and where human approval is required.

7.Third-Party Services and Models

The Services may interoperate with third-party systems, data sources, applications, infrastructure, or AI models. Your use of third-party services may be subject to separate terms and privacy practices. Selfic AI is not responsible for third-party products or services outside its control. Availability of an integration does not constitute a warranty or endorsement of the third party.

8.Security and Privacy

Selfic AI maintains safeguards designed to protect the Services and information processed through them. You must use the Services in accordance with applicable security requirements and are responsible for secure configuration of your accounts and integrations. Our Privacy Policy describes our processing of personal information. Enterprise data-processing and security commitments may be governed by a DPA, security addendum, or Enterprise Agreement.

9.Fees and Payment

Fees, payment terms, taxes, subscription periods, renewal terms, usage charges, and implementation fees, if any, are stated in the applicable order or Enterprise Agreement. Except as expressly stated there or required by law, fees are non-refundable and payment obligations are non-cancelable for the committed term.

10.Intellectual Property

Selfic AI and its licensors retain all right, title, and interest in the Services, software, documentation, designs, technology, models or components owned by Selfic AI, and all related intellectual-property rights. Except for the limited right to use the Services under these Terms and any applicable agreement, no rights are transferred to you.

If you provide feedback or suggestions, you grant Selfic AI a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or obligation, provided we do not identify you publicly as the source without permission.

11.Confidentiality

If the parties exchange non-public information that a reasonable person would understand to be confidential, the receiving party will use reasonable care to protect it and use it only for the relationship between the parties. This section does not replace more specific confidentiality obligations in an Enterprise Agreement or NDA.

12.Suspension and Termination

Selfic AI may suspend access where reasonably necessary to address a security threat, unlawful use, material breach, nonpayment, risk to the Services or other users, or legal requirement. Where practicable, we will provide notice and work to restore access after the issue is resolved. Either party may terminate as provided in the applicable Enterprise Agreement. For Services not governed by an Enterprise Agreement, you may stop using them at any time, and Selfic AI may discontinue them subject to applicable law.

13.Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES PROVIDED WITHOUT A SEPARATE WRITTEN WARRANTY ARE PROVIDED "AS IS" AND "AS AVAILABLE." SELFIC AI DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SELFIC AI DOES NOT WARRANT THAT THE SERVICES OR AI-GENERATED OUTPUTS WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY CUSTOMER USE CASE. EXPRESS WARRANTIES OR SERVICE LEVELS IN AN ENTERPRISE AGREEMENT ARE NOT LIMITED BY THIS SECTION.

14.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT TO THE EXTENT A DIFFERENT LIMIT IS EXPRESSLY AGREED IN AN ENTERPRISE AGREEMENT, SELFIC AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICES. FOR SERVICES GOVERNED ONLY BY THESE TERMS, SELFIC AI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID SELFIC AI FOR THE RELEVANT SERVICES DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

15.Indemnification

To the extent permitted by law, you will defend and indemnify Selfic AI and its affiliates, officers, directors, and personnel against third-party claims arising from your unlawful use of the Services, your Customer Content, or your material breach of these Terms, except to the extent caused by Selfic AI’s breach, negligence, or willful misconduct. Any different indemnity allocation in an Enterprise Agreement controls.

16.Governing Law and Disputes

Unless an Enterprise Agreement states otherwise, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to their jurisdiction and venue. Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief for misuse of intellectual property, confidential information, or unauthorized system access.

17.Changes to the Services or Terms

We may update these Terms to reflect changes to the Services, law, security requirements, or business practices. We will post the updated Terms with a new effective date and provide additional notice where required. Material changes will not retroactively reduce rights expressly granted under an existing Enterprise Agreement during its committed term unless permitted by that agreement or required by law.

18.General

If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent except in connection with a permitted corporate transaction; Selfic AI may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets. These Terms and applicable Enterprise Agreements constitute the agreement governing the relevant Services.
